2) What the Website is (and how sales work)
The Website is an informational showcase and a way to contact us. Purchases are not completed directly by “checkout” unless stated otherwise.
In general, sales are concluded when:
- you contact us and we provide a quote/estimate or invoice, and
- you accept it in writing (email/signature) and/or pay the required amount.
3) Definitions
- Digital Deliverables: ready-made files or delivered files (e.g., PNG, JPG/JPEG, PDF, MP4, MOV), including H.264, HD/4K.
- Services: custom creation, editing, retouching, or any bespoke work delivered after production.
- Delivered Visuals: any drafts or final exports made available to you by download link or shared drive access.
- Consumer: an individual buying outside a business/professional activity.
4) Acceptable use of the Website
When using the Website, you must not:
- engage in unlawful activity, fraud, or infringement;
- attempt unauthorized access, disrupt the Website, or introduce malware;
- copy/reuse Website content (branding, visuals, text, layout) without written permission.
5) Our offer
5.1 Digital deliverables
We provide files and packs/assets in formats such as: PNG, JPG/JPEG, PDF, MP4, MOV (H.264), HD/4K. Exact scope, formats, and intended use are specified in the quote/invoice and/or written agreement.
5.2 Services (custom work / retouching)
Services may include creation and/or retouching. When needed, we may provide access to a company drive folder for collaboration and file exchange. This access is provided for the project only and must not be shared.
6) Pricing and currency
All prices are in EUR (€) unless stated otherwise on the invoice/quote. Taxes (including VAT, if applicable) are indicated on the invoice.
7) Payment terms (Services — 50/50)
Unless stated otherwise on the invoice/quote:
- 50% deposit is required to start production, and
- 50% balance is due upon completion and before final delivery (final HD/4K exports, final files, or final package).
8) Revisions (Services)
Unless specified otherwise in writing, Services include two (2) revision rounds, based on consolidated feedback. Additional revision rounds or scope changes may be billed.
9) Delivery
9.1 Delivery method
Delivery is made via download links and, when applicable for retouching/collaboration, company drive access.
9.2 Timelines
Timelines depend on scope and your responsiveness (brief, references, approvals). Delays caused by missing information or late feedback may extend delivery dates.
10) Technical issues — reporting deadline (7 days)
If you have an access/download issue, contact contact@onireel.com within 7 days of delivery/access and include:
- invoice/quote reference,
- description of the issue,
- screenshots if relevant.
11) Refunds and cancellations
11.1 Digital deliverables (files/packs)
Because digital files are delivered electronically and cannot be “returned”, sales are generally final once delivery/access is provided.
We may grant a refund or replacement only if:
- you paid twice for the same deliverable, or
- a technical issue prevents access/download and we cannot resolve it, or
- the delivered files are materially different from what was agreed in writing.
11.2 Services (custom work)
- 100% refund: if no Delivered Visuals have been delivered and you decide you do not want to proceed because the work does not meet your expectations, we will refund 100% of amounts paid (including the deposit).
- If any Delivered Visuals have already been delivered, any refund (if applicable) may be partial and based on progress, unless otherwise agreed in writing.
Refund requests must be emailed to contact@onireel.com with your reference.
12) Rights, ownership, and commercial use
12.1 Website content
All Website content (branding, visuals, layout, text) remains the property of Onireel or its licensors.
12.2 Digital deliverables (ready-made packs/assets)
Unless otherwise stated in writing, you receive a commercial right to use the delivered files in your projects. You may not:
- resell, redistribute, share, or re-upload the original files (or substantially similar files) as standalone assets or as a competing pack/library;
- claim authorship of the original files as-is.
12.3 Custom Services — transfer after full payment
For custom Services, ownership/assignment of economic rights in the final deliverables transfers to you upon full payment, unless otherwise agreed in writing. This transfer covers the final agreed deliverables, and does not include Onireel’s pre-existing tools, methods, templates, or background know-how.
13) EU/France consumer right of withdrawal
EU/France consumers generally have a 14-day right of withdrawal for distance contracts, subject to legal exceptions.
13.1 Digital content supplied immediately
For digital content delivered immediately, the withdrawal right can be lost if the consumer gave prior express consent and acknowledged the loss of the right once performance begins.
“I expressly consent to immediate delivery/access to the digital content and acknowledge that I will lose my right of withdrawal once delivery/performance begins.”
13.2 Services started immediately
If you request that a Service starts immediately, consumer rules may affect withdrawal conditions depending on the situation.
14) Complaints and consumer mediation (France — required for B2C)
If you are a French consumer and a dispute cannot be resolved after contacting us, you may be entitled to consumer mediation. Professionals must provide mediator contact details.
15) Liability
To the fullest extent permitted by law, Onireel is not liable for indirect or consequential damages (loss of profit, loss of data). Nothing in these Terms limits mandatory consumer rights or liability that cannot be excluded by law.
16) Changes
We may update these Terms. The “Last updated” date indicates the current version.
17) Governing law
These Terms are governed by French law, subject to mandatory consumer protections. Jurisdiction: courts of France, unless mandatory rules provide otherwise
